NexusMart is a commercial marketplace and services platform operated by 13710645 Canada Ltd. NexusMart functions similarly to an online marketplace and enables transactions between buyers and sellers, direct sales by NexusMart (including dropshipping), commercial campaigns and presales, and business services including B2B payment facilitation where enabled.
By accessing or using NexusMart, creating an account, listing products or services, running campaigns, or completing a transaction, you agree to be bound by these Terms of Service (“Terms”).
1. Definitions
- “NexusMart” refers to the marketplace platform operated by 13710645 Canada Ltd.
- “User” refers to any individual or entity accessing or using NexusMart.
- “Buyer” refers to a User who purchases goods or services.
- “Seller” refers to a User who lists or sells goods or services, including campaign creators.
- “Campaign” refers to a commercial presale or redeemable-value offering.
- “Direct Sale” refers to a product or service sold by NexusMart itself.
2. Platform Role & Marketplace Structure
NexusMart may act as:
- A marketplace facilitator connecting Buyers and third-party Sellers
- A transaction and payment intermediary
- The direct seller for NexusMart-owned or dropshipped listings
Unless explicitly stated otherwise, NexusMart is not the seller of third-party marketplace listings and does not manufacture, own, or fulfill those goods or services.
2A. Relationship Clarification (Important)
NexusMart operates solely as a technology and commercial platform. Nothing in these Terms creates, or is intended to create, any agency, partnership, joint venture, employment, or fiduciary relationship between NexusMart (or 13710645 Canada Ltd.) and any Seller, Campaign Creator, Affiliate, or User.
Sellers and service providers act independently and are solely responsible for their products, services, representations, fulfillment, and compliance obligations. NexusMart does not act as an agent, representative, or partner of Sellers unless explicitly stated in writing.
3. Account Registration & Eligibility
- Users must provide accurate and complete information
- Businesses must register using their legal business details
- NexusMart may verify identity, business status, or compliance information
- Accounts may be suspended or terminated for inaccurate or misleading information
4. Listings, Campaigns & Content
Sellers and campaign creators must:
- Provide truthful, complete, and non-misleading descriptions
- Disclose fulfillment timelines, limitations, and conditions
- Comply with applicable laws and platform rules
NexusMart reserves the right to:
- Review, approve, reject, modify, or remove listings or campaigns
- Suspend or pause listings for compliance or risk reasons
5. Transactions, Payments & Fees
- Payments are processed through approved payment providers
- Fees, commissions, or service charges will be disclosed prior to transaction
- NexusMart may hold, delay, or release funds based on risk, compliance, or fulfillment status
6. Refunds, Cancellations & Disputes
Refunds and cancellations are governed by the NexusMart Refund & Cancellation Policy, incorporated into these Terms by reference.
Buyers and Sellers agree to follow the dispute-resolution process outlined in that policy.
7. Fulfillment & Seller Responsibility
- Sellers are responsible for fulfillment, delivery, and customer support
- NexusMart is not responsible for third-party Seller fulfillment failures
- For Direct Sales, NexusMart assumes seller obligations as disclosed
8. Prohibited Activities
Users may not:
- Engage in fraudulent, deceptive, or unlawful activity
- Misrepresent products, services, or campaign outcomes
- Circumvent platform fees, systems, or safeguards
Violations may result in suspension, termination, or legal action.
9. Intellectual Property
- NexusMart and 13710645 Canada Ltd. retain all rights to platform software, branding, and content
- Sellers retain rights to their own listings and materials
10. Limitation of Liability
To the maximum extent permitted by law:
- NexusMart is not liable for indirect, incidental, special, or consequential damages
- NexusMart’s total liability is limited to the fees paid to NexusMart for the specific transaction giving rise to the claim
Consumer Law Notice: Nothing in these Terms is intended to exclude, limit, or modify any rights or remedies that cannot be excluded under applicable consumer protection or other mandatory laws.
11. Indemnification
Users agree to indemnify and hold harmless NexusMart and 13710645 Canada Ltd. from claims arising from their use of the platform or violation of these Terms.
12. Modifications & Termination
- NexusMart may modify these Terms at any time
- Continued use constitutes acceptance of updated Terms
- NexusMart may suspend or terminate access at its discretion
13. Governing Law
These Terms are governed by the laws of Canada and the applicable provincial laws where NexusMart operates.
